Terms of Use

All users of Snapvine Inc.'s services (the "Services") agree to and must comply with this Terms of Use.  Snapvine Inc. services include all services owned and administered by Snapvine Inc., including but not limited to Snapvine.com.  This Terms of Use may be updated by us from time to time without notice to you.  In addition, when using particular Snapvine service you may be subject to any posted guidelines or rules applicable to such services.

Snapvine Inc. may remove, block or restrict by any other means any phone number that, in Snapvine Inc.'s sole discretion, may be illegal, may subject Snapvine Inc. to liability, or which may violate this Terms of Use.  Snapvine Inc. may cooperate with legal authorities and/or third parties in the investigation of any suspected or alleged crime or civil wrong. Violation of this Terms of Use may result in the suspension or termination of either access to the Services and/or Snapvine Inc. account or other actions as detailed below. This Terms of Use should be read in conjunction with our other policies all of which are posted on our website at www.snapvine.com.

In consideration of your use of the service, you represent that you are of legal age to form a binding contract.  You also agree to provide true, accurate and current information about yourself for the registration and to maintain and promptly update that information.  If you provide any information that is untrue, inaccurate, not current or incomplete, or Snapvine, Inc. has reasonable grounds to suspect that such information is not true, accurate, current or complete, Snapvine, Inc. has the right to terminate your account and refuse service immediately and without notice.

Snapvine, Inc. is concerned about the safety and privacy of all its users, especially children.  You must be over the age of 13 in order use this service.

You will receive an account and password upon completing the registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify Snapvine, Inc. of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. Snapvine, Inc. cannot and will not be liable for any loss or damage arising from your failure to comply.

You agree to indemnify and hold Snapvine, Inc. and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, post, transmit or otherwise make available through the service, your use of the service, your connection to the service, your violation of the Terms of Use, or your violation of any rights of another.

You agree not to resell, copy, reproduce, trade or use for any commercial purposes, any portion of the service (including your Snapvine, Inc account), use of the service, or access to the service.

You acknowledge that Snapvine, Inc. may modify or terminate the service or any aspect of it, temporarily or permanently, with or without notice.  You agree that Snapvine, Inc. shall not be liable to you or to any third party for any modification, suspension or discontinuance of the service, or for any loss of data associated with your use of the service or any aspect of it.  You also agree that Snapvine, Inc. may under certain circumstances and without prior notice terminate your account and any or all associated data.   Causes for such termination may be the result of but not limited to (a) breached to this Terms of Use (b) violations of other posted guidelines and rules, (c) in order to comply with applicable laws, (d) unexpected technical or security difficultied, (e) extended periods of inactivity and (f) requests by you.

The following constitute violations of this Terms of Use (this list is intended to be illustrative and not exhaustive;  other uses may violate the Terms of Use and Snapvine Inc. remains the sole and final arbiter of acceptable usage of its Services):

a.  Illegal use: Using the Services to transmit any information (by email, uploading, posting, telephone or VOIP connection or otherwise) that, intentionally or unintentionally, violates any applicable local, state, national or international law, or any rules or regulations promulgated thereunder.

b.  Harm to minors: Using the Services to harm, or attempt to harm, minors in any way.

c.  Threats: Using the Services to transmit any information (by email, uploading, posting, telephone or VOIP connection or otherwise) that threatens or encourages bodily harm or destruction of property.

d.  Harassment: Using the Services to transmit any information (by email, uploading, posting, telephone or VOIP connection or otherwise) that harasses another.

e.  Fraudulent activity: Using the Services to make fraudulent offers to sell or buy products, items, or services or to advance any type of financial scam such as "pyramid schemes," "Ponzi schemes", unregistered sales of securities, securities fraud and "chain letters."

f.  Forgery or impersonation: Using the services with any intentional or unintentional effort to deceive or mislead is prohibited. Attempting to impersonate any person while using our services is prohibited.

g.  Unsolicited communication/bulk communication: Using the Services to place unsolicited or bulk phone calls. Activities that have the effect of undesired phone calls, are prohibited.

h.  Unauthorized access: Using the Services to access, or to attempt to access, the accounts of others, or to penetrate, or attempt to penetrate, security measures of Snapvine Inc.'s or another entity's computer software or hardware, electronic communications system, or telecommunications system, whether or not the intrusion results in disruption of service or the corruption or loss of data.

i.  Copyright or trademark infringement: Using the Services to transmit any material (by email, uploading, posting, telephone or VOIP connection or otherwise) that infringes any copyright, trademark, patent, trade secret, or other proprietary rights of any third party, including, but not limited to, the unauthorized copying of copyrighted material, the digitization and distribution of audio from CDs, radio or online music services, and the unauthorized transmittal of copyrighted information.

j.  Collection of personal data: Using the Services to collect, or attempt to collect, personal information about third parties without their knowledge or consent.

k.  Reselling the services: Reselling the Services without Snapvine Inc.'s authorization.

l. Network disruptions and unfriendly activity: Using the Services for any activity which adversely affects the ability of other people or systems to use Snapvine Inc. Services or the Internet or voice communication systems. This includes excessive consumption of network or system resources whether intentional or unintentional. This also includes "denial of service" (DoS) attacks against another network host or individual user. Interference with or disruption of other network users, network services or network equipment is prohibited. A user may not, through action or inaction, allow others to use their system for illegal or inappropriate actions. A user may not permit their system, through action or inaction, to be configured in such a way that gives a third party the capability to use their system in an illegal or inappropriate manner.

Snapvine Inc. requests that anyone who believes that there is a violation of this Terms of Use document to contact us.

If available, please provide the following information:

1. The name of the person who committed the alleged violation

2. The phone number used to commit the alleged violation.

3. The date and time of the alleged violation, including the time zone or offset from GMT

4. Evidence of the alleged violation

When reporting an issue regarding unsolicited phone call please provide as much as possible including the time and date of the call, the phone number that was called and the caller ID of the caller. Other situations will require different methods of providing the necessary information.

Snapvine Inc. may take any one or more of the following actions, or other actions not listed, at Snapvine Inc.'s sole discretion in response to complaints:

1. issue warnings: written or verbal

2. suspend the Member's account

3. terminate the Member's account

4. bill the user for administrative costs and/or reactivation charges, with a minimum administrative cost, if assessed, of $250 per incident

5. bring legal action to enjoin violations and/or to collect damages, if any, caused by violations.

By using Snapvine.com you acknowledge that by using Snapvine to send electronic communications (including but not limited to Snapvine Message Calls and/or Snapvine Voice Forums) you will be causing communications to be sent through Snapvine computer networks, portions of which are located in Washington state, Iowa, California and other locations in the United States and portions of which are located abroad. As a result, even communications that seem to be intrastate in nature can result in the transmission of interstate communications regardless of where you are physically located at the time of transmission. Accordingly, by agreeing to this Terms of Service, you acknowledge that use of the service results in interstate data transmissions.

Also, you agree to comply with all local rules regarding online conduct and acceptable content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

With respect to content you make available for inclusion on publicly accessible areas of the Snapvine or its affiliate services, you grant Snapvine the following worldwide, royalty-free and non-exclusive license(s), as applicable:

a) The license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such content on the service for the purposes of providing and promoting the Snapvine service.

"Publicly accessible" areas of the service are those areas that are intended by Snapvine to be available to the general public. Publicly accessible areas of the service would include, but not be limited to the following examples: Snapvine Voice Forums, and portions of Snapvine Message Calls that are open to both members and visitors. Publicly accessible areas of the service do NOT include portions of Snapvine Voice Forums that are limited to members, or are provided to our users as "private" areas and specifically labelled as such.

Snapvine Inc. reserves the right to revise, amend, or modify this Terms of Use, and our other policies and agreements at any time and in any manner, without notice to you.
